This Terms of Use agreement ("Terms") is a legal contract between you (either an individual or the business entity you represent) and FERRIX AI PRIVATE LIMITED ("Company", "we", "us", or "our"). These Terms govern your access to and use of our public website at https://ferrix.ai (the "Site") and our agentic product management application platform at https://app.ferrix.ai (the "App" or "Platform").
By registering an account, purchasing a subscription, or accessing the Site and App, you explicitly acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately stop using our services.

ACCOUNT ELIGIBILITY & TEAM MANAGEMENT
Age Requirement: You must be at least 18 years old to create an account or use our Platform.
Accuracy of Information: You represent and warrant that all registration information you provide is true, accurate, and complete, and that you will keep it updated.
Account Security: You are solely responsible for safeguarding your login credentials. Any activity, modification, or data transfer that occurs under your account is your legal responsibility.
Authorized Users: If you invite team members, contractors, or external agents to join your workspace ("Authorized Users"), you are responsible for ensuring they comply with these Terms. You remain fully liable for any policy violations or actions taken by your Authorized Users.

CUSTOMER DATA & INTELLECTUAL PROPERTY RIGHTS
Your Data Ownership: You retain all right, title, and interest in the text, records, logs, and files that you or your team connect, upload, or transmit to the Platform ("Customer Data").
AI Model Training Policy: We respect your operational privacy. Ferrix AI does not use your Customer Data or proprietary conversations to train public, shared, or third-party foundational artificial intelligence models.
Anonymized Metadata: You grant us a license to use aggregated, fully anonymized technical metadata (such as overall application usage metrics and system performance statistics) to maintain, protect, and optimize our infrastructure, provided it can never be used to identify you, your team, or your users.
Security & DPA: We apply commercially reasonable administrative and technical safeguards (including encryption at rest and in transit) to protect your data. All processing of digital personal data is managed under our Privacy Policy and our Data Processing Addendum (DPA), aligned with applicable data regulations (including India's Digital Personal Data Protection Act).

THIRD-PARTY INTEGRATIONS & CONNECTIVITY
Configured Integrations: The App operates by linking into communication channels, ticketing tools, or developer trackers you manage.

AI-GENERATED OUTPUTS & REVIEW RESPONSIBILITIES
Right to Use: Subject to compliance with these Terms, you hold the right to copy, modify, and distribute the summaries, specifications, product requirements documents (PRDs), and roadmaps generated by our AI workflows for your internal business goals.
Mandatory Review: Artificial intelligence systems process data probabilistically and can occasionally generate inaccurate, incomplete, or flawed summaries (commonly known as hallucinations). You are entirely responsible for reviewing, validating, and approving all AI-generated outputs before acting on them or sharing them externally.
No Uniqueness or Compliance Guarantees: We do not warrant that any AI-generated content is unique, legally compliant, or suitable for a specific corporate purpose.

PROHIBITED CONDUCT & USE RESTRICTIONS
To protect the integrity of the Site and the Platform, you agree not to commit or permit any of the following actions:
Reverse Engineering: Copy, modify, decompile, adapt, translate, or reverse engineer any underlying algorithmic architecture, interface layout, or code belonging to Ferrix AI.
Competing Systems: Use our workflows, prompt configurations, or generated outputs to train a competing software application or machine learning model.
Infrastructure Load: Take any action that imposes an unreasonable or disproportionately heavy bandwidth load on our Site's hosting infrastructure or network servers.
Scraping & Mining: Use automated tools, spiders, robots, or scraping applications to systematically extract data or mine content from our Site or App without prior written consent.
Regulated Sensitive Data: Connect or upload financial card numbers (such as raw credit card data), biometric logs, health profiles, or national government IDs. You are responsible for ensuring your connected systems do not push highly regulated data into our environment.

FEES, AUTO-RENEWALS, & SUBSCRIPTIONS
Recurring Billing: Access to our premium features is billed on a recurring monthly or annual subscription tier. All listed pricing excludes any applicable regional or national taxes.
Automatic Renewal: Your subscription tier will renew automatically at the end of each billing cycle unless you actively cancel your plan via your account dashboard before the next automated renewal date.
Payment Processors: Transactions are routed securely through third-party billing gateways (such as Stripe). Ferrix AI does not record or store your underlying financial accounts or credit card numbers.
Refund Policy: All payments are non-refundable unless explicitly mandated by regional consumer protection laws or agreed upon in an active Service Level Agreement (SLA).

EVALUATION, TRIALS, & BETA ACCESS
As-Is Provision: Any sandbox environments, trial plans, free tiers, or features explicitly marked as "Beta" or "Experimental" are provided strictly on an "as-is" and "as-available" basis.
No Commitments: Free and evaluation tiers carry no uptime commitments, service level agreements, maintenance obligations, or operational warranties. We reserve the absolute right to alter, limit, or remove beta capabilities at any time without notification.

PROPRIETARY RIGHTS & USER FEEDBACK
Our Core Assets: Ferrix AI, our logo, trade secrets, software designs, visual layouts, and core architecture remain the sole and exclusive intellectual property of FERRIX AI PRIVATE LIMITED. No ownership right is transferred to you under these Terms.
Feedback Submission: If you provide our team with ideas, optimization feedback, or feature requests, you grant us an unrestrictive, perpetual, royalty-free right to implement those enhancements into our global platform without compensation or credit to you.

SUSPENSION, TERMINATION, & DATA PURGING
Immediate Suspension: We reserve the right to immediately pause your workspace access if your account generates an active security threat, legal hazard, or is found to violate third-party API platform terms. For ordinary billing lapses or minor policy issues, we will provide you with a reasonable notice window to resolve the discrepancy.
Data Retrieval Period: Upon account termination or plan expiration, your system access ceases. You may request a technical export of your stored Customer Data within 30 days of contract termination. After this 30-day window, Ferrix AI may permanently delete your data records from all active operational environments, subject to standard cold-backup cycles and underlying statutory requirements.

Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE SERVICES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. THE COMPANY DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, TIMELINESS, COMPLETENESS, OR CURRENTNESS OF ANY CONTENT, TEXT, GRAPHICS, LINKS, OR COMMUNICATIONS PROVIDED ON OR THROUGH THE USE OF THE SERVICES.
YOU ACKNOWLEDGE AND AGREE THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL AND/OR DATA.

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE TO ANY PERSON FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COVER OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, REVENUE, SALES, GOODWILL, USE OF CONTENT, IMPACT ON BUSINESS, BUSINESS INTERRUPTION, LOSS OF ANTICIPATED SAVINGS, LOSS OF BUSINESS OPPORTUNITY) HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, WARRANTY, BREACH OF STATUTORY DUTY, NEGLIGENCE OR OTHERWISE, EVEN IF THE COMMITTED PARTY HAS BEEN ADVISED AS TO THE POSSIBILITY OF SUCH DAMAGES OR COULD HAVE FORESEEN SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE COMPANY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS RELATING TO THE SERVICES WILL BE LIMITED TO AN AMOUNT EQUAL TO THE FEES ACTUALLY PAID BY YOU TO THE COMPANY FOR THE SERVICES IN THE THREE (3) MONTHS PERIOD PRIOR TO THE FIRST EVENT OR OCCURRENCE GIVING RISE TO SUCH LIABILITY. THE LIMITATIONS AND EXCLUSIONS ALSO APPLY IF THIS REMEDY DOES NOT FULLY COMPENSATE YOU FOR ANY LOSSES OR FAILS OF ITS ESSENTIAL PURPOSE.

GOVERNING LAW & JURISDICTION
These Terms, along with any operational disputes arising out of your relationship with Ferrix AI, will be governed by and interpreted strictly in accordance with the laws of India. You explicitly agree that any legal actions, arbitrations, or judicial proceedings must be filed exclusively within the competent courts located in Gurugram, Haryana, India.

AMENDMENTS TO THESE TERMS
As our product capabilities scale, we may modify these Terms. If a revision alters your core obligations, we will provide at least 30 days' advance warning via your registered email or through an in-app workspace notification banner. Your continued engagement with the Platform after the effective date of an update means you accept the revised version.
